Axon Point Advisory is a business advisory company
Axon Point Advisory LLC is an advisory company organized in the Republic of Armenia. It provides business, strategic, market-entry, due-diligence, investigation-support, compliance, regulatory-risk, project-coordination, and related advisory services. The company is not an Armenian law firm and does not hold itself out through this website as providing Armenian legal representation.
The fact that Axon Point’s founder is a U.S. attorney and has substantial U.S. legal, regulatory, and investigations experience is relevant to the firm’s advisory perspective. It does not convert every Axon Point communication or engagement into legal advice and does not create an attorney-client relationship with a U.S. law practice.
Armenian legal services
Questions of Armenian law, legal rights, litigation, licensing, legal opinions, formal legal filings, and representation before Armenian courts or authorities must be handled by appropriately qualified and licensed Armenian legal professionals where the law so requires. Axon Point may help identify issues that require Armenian legal review, assist the client in selecting counsel, coordinate factual and commercial workstreams, and integrate counsel’s advice into a broader business project.
Clients should not rely on Axon Point’s business commentary as a substitute for Armenian legal advice. References on the site to Armenian laws, regulations, registration procedures, investment rules, licensing, employment, tax, banking, privacy, or other legal matters are general context and may change.
U.S. legal services and attorney-client privilege
Axon Point Advisory does not provide U.S. legal representation merely because its work concerns the United States. A client requiring U.S. legal advice, a legal opinion, defense or representation in a government investigation, court representation, privileged legal investigation, or advocacy before a U.S. agency must engage appropriately licensed U.S. counsel under a separate arrangement.
A communication with Axon Point is not automatically protected by attorney-client privilege or work-product protection. Privilege depends on the applicable law, purpose of the communication, parties involved, role of counsel, and engagement structure. Clients who believe a matter is likely to result in litigation, government enforcement, or another legal proceeding should raise that issue before extensive investigative work or sensitive communications occur so the appropriate legal structure can be considered.
Government investigations and enforcement advisory
Axon Point may provide non-legal advisory support concerning government investigations and enforcement risk, including internal fact development, evidence organization, chronology preparation, compliance assessment, operational review, project management, remediation planning, and coordination among management and professional advisers. Such support is not a substitute for defense counsel when legal representation is required.
Government-investigation matters can involve strict response deadlines, preservation obligations, criminal or civil exposure, employment issues, privilege, data restrictions, and individual conflicts. No company or executive should assume that a business-consulting engagement alone is sufficient where a government agency, prosecutor, inspector general, regulator, grand jury, court, or law-enforcement body has made a formal demand.
Sanctions, export controls, AML, and regulatory-risk information
Axon Point may assess sanctions, export-control, anti-money-laundering, know-your-customer, beneficial-ownership, counterparty, end-user, end-use, and other regulatory risks as part of an advisory or diligence engagement. Screening and risk assessment reduce uncertainty but do not guarantee that a transaction is lawful, that a counterparty is acceptable to every financial institution, or that a government agency will reach a particular conclusion.
Sanctions and export-control rules change frequently and can depend on ownership, control, nationality, location, product classification, technology, end user, end use, payment route, transportation route, and other facts. Where a client requires a formal interpretation, license, classification, disclosure, government submission, or legal opinion, the matter should be referred to appropriately qualified counsel or other authorized professionals.
Investment and securities limitations
Axon Point’s investor-representation and transaction-due-diligence services are business-advisory services. The firm may help an investor assess a company or project, verify commercial representations, evaluate management and counterparties, organize site visits, identify risk, coordinate professional advisers, support negotiations, or monitor implementation. These services do not constitute a guarantee that an investment is suitable, profitable, lawful in every jurisdiction, or free from fraud or loss.
Axon Point does not through this website offer securities brokerage, investment management, custody, discretionary portfolio management, securities placement, public solicitation of investments, or guaranteed investment returns. Where a proposed activity is regulated as securities, investment, brokerage, placement, or financial advice, the client should engage appropriately authorized professionals and structure compensation accordingly.
No tax, accounting, audit, valuation, engineering, medical, or technical certification
Cross-border projects frequently require tax, accounting, audit, valuation, engineering, cybersecurity, medical, scientific, or other technical advice. Axon Point may identify the need for such work, help select professionals, coordinate diligence, and incorporate their findings into the broader business analysis. Unless expressly agreed and lawfully permitted, Axon Point does not itself provide those regulated or specialized certifications through general advisory services.
A client should not interpret Axon Point’s review of financial statements, business models, technical reports, healthcare operations, or other specialized information as an audit, valuation opinion, engineering certification, clinical opinion, or tax opinion.
Due diligence has inherent limitations
Commercial and investigative due diligence is designed to improve decision quality, not to eliminate risk. The result depends on the accuracy and completeness of records, access to people and systems, cooperation of counterparties, quality of public databases, language, local recordkeeping, scope, timing, and the client’s budget. Fraud, undisclosed ownership, informal arrangements, off-book relationships, or future misconduct may not be discoverable even after reasonable investigation.
Axon Point therefore reports not only findings but also material limitations and unresolved questions where appropriate. An absence of identified adverse information should not be interpreted as proof that no adverse information exists.
Corporate intelligence and investigations
Axon Point conducts investigations and corporate-intelligence work only through lawful methods. The firm does not authorize unlawful access to accounts, devices, communications, government databases, protected records, or private systems. It does not use pretexting, hacking, spyware, bribery, or other unlawful means to obtain information. The permissible scope of investigative activity depends on the jurisdictions and types of information involved.
Third-party professionals and referrals
Axon Point may introduce or coordinate lawyers, accountants, investigators, tax advisers, bankers, technical consultants, valuation professionals, cybersecurity firms, or other service providers. Unless a written agreement states otherwise, those professionals are independent and remain responsible for their own work, professional obligations, fees, licenses, advice, and conclusions. An introduction does not constitute a guarantee of performance.
Clients should evaluate and formally engage third-party professionals on terms appropriate to the matter. Where Axon Point manages a broader project, coordination does not make Axon Point the provider of each underlying regulated service.
Market information and projections
Website pages may discuss economic conditions, industry trends, market opportunities, government programs, investment conditions, or commercial prospects in Armenia, the United States, and other jurisdictions. Market information can become outdated and may be based on government, industry, company, or third-party sources. Forecasts, projections, estimated opportunities, or strategic judgments are inherently uncertain.
Nothing on the site is a promise that a market will develop as expected, that financing will be available, that a government incentive will remain in effect, that a particular business will succeed, or that a transaction will close.
AI-generated summaries and search results
Search engines, AI assistants, automated summaries, social-media platforms, and other third parties may quote, summarize, translate, or characterize Axon Point website content outside Axon Point’s control. Such summaries may omit limitations, use outdated versions, or combine Axon Point content with unrelated sources. The authoritative version of an Axon Point website page is the version published on the Axon Point domain at the time it is viewed.
Users should open the underlying page and verify current information rather than relying solely on an automated summary, search snippet, or third-party reproduction. This is particularly important for sanctions, regulatory, legal, investment, and other time-sensitive matters.
Confidentiality of website inquiries
A website inquiry is not an engagement and should not contain highly sensitive or privileged information unless Axon Point has confirmed that it can receive the information and provided an appropriate channel. The firm may need to conduct conflict, integrity, sanctions, or other checks before accepting a matter. Submission of an inquiry does not obligate Axon Point to accept the project or preserve a deadline.
No guarantee and no reliance without engagement
Axon Point does not guarantee outcomes. Advisory work is based on information available at the time, assumptions stated or reasonably understood, and the agreed scope. Changes in facts, law, regulation, counterparties, market conditions, government policy, or client objectives may change the analysis. Public website content is not tailored to any visitor’s circumstances and should not be treated as a substitute for a defined professional engagement.
Questions about the appropriate engagement structure
If you are uncertain whether a matter requires business advisory work, legal representation, privileged investigation, accounting, tax, technical diligence, or another professional service, contact Axon Point with a concise description of the objective and jurisdictions involved. The firm can help determine the appropriate workstreams and, when necessary, coordinate qualified independent professionals.
